Sunoco LP has acquired Offen Petroleum for $600.0 million, a cash transaction that adds a significant wholesale fuel distributor to Sunoco’s existing operations. The deal closed following standard regulatory approvals, and Offen Petroleum will now operate as part of Sunoco’s broader fuel distribution network.

Offen Petroleum, headquartered in Denver, Colorado, is a wholesale distributor of fuel, lubricants, diesel exhaust fluid, and premium additives. The company serves commercial and industrial fuel and lubricants accounts, as well as retail gasoline outlets across the Rocky Mountain Region. Offen also owns three convenience stores in Northern Colorado and the Denver metro area. Sunoco LP, a master limited partnership, is a major distributor of motor fuels and other petroleum products to independent dealers, distributors, and commercial customers across the United States.

The acquisition is a geographic expansion play for Sunoco, which has historically concentrated its wholesale footprint in the eastern and southern parts of the country. By bringing Offen into its portfolio, Sunoco gains immediate access to a well-established distribution network in the Rocky Mountain states, a region where it had limited direct presence. Offen’s existing customer base, which includes both commercial fleets and retail sites, provides a ready-made platform for Sunoco to cross-sell additional products and services.

For Offen Petroleum, the transaction offers access to Sunoco’s larger supply chain, purchasing power, and logistics infrastructure. The combined entity is expected to streamline procurement and distribution efficiencies across the newly added territory, while maintaining the local customer relationships that Offen has built over its years of operation. Sunoco has indicated that it will retain Offen’s Denver-based team to ensure continuity for existing accounts.

The integration process will focus on aligning back-office systems and supply agreements over the coming quarters. With the Rocky Mountain market now under its umbrella, Sunoco is positioned to pursue further organic growth in the region, though no additional acquisitions have been announced. The deal underscores a broader trend of consolidation among mid-sized fuel distributors as larger players seek scale in fragmented regional markets.
