The transaction brings the Bengaluru-based digital engineering firm under the ownership of ITC Infotech, the technology subsidiary of the ITC Group, marking a consolidation in India’s IT services sector.
Happiest Minds, listed on Indian stock exchanges under the ticker HAPPSTMNDS, operates as an AI-first digital engineering company with a focus on product engineering, cybersecurity, analytics, and automation. Its client base spans sectors including banking and financial services, healthcare, retail, and manufacturing. The company also owns proprietary platforms such as Arttha, a digital banking solution, and Insurance in a Box, an AI-driven insurance platform. ITC Infotech, which provides IT services and consulting to global enterprises, will absorb these capabilities into its existing portfolio.
The acquisition is strategic for ITC Infotech as it seeks to broaden its digital engineering and AI offerings. Happiest Minds brings a strong track record in emerging technologies like generative AI, along with partnerships with major cloud providers such as Microsoft and AWS. For ITC Infotech, this adds depth in verticals where it has had limited presence, particularly in BFSI and healthcare, while expanding its geographic reach across the Americas, Europe, and Asia.
For Happiest Minds, the deal offers access to ITC Infotech’s larger enterprise client base and operational scale. The combined entity is expected to leverage Happiest Minds’ proprietary platforms and ITC Infotech’s delivery network to cross-sell services. The acquisition also removes the public listing burden from Happiest Minds, allowing it to operate with greater flexibility under private ownership.
